If you do not agree, please do not use the website or engage our services.
1. Overview of services
Tirarin is an end-to-end fashion production partner for premium and luxury B2B apparel brands. Our services include design and development support, raw material sourcing, factory matching, sampling, production management, quality control, cross-border logistics, and brand consultation across the following product categories: Activewear, Swimwear, Knitwear, Denim, Outerwear, Underwear & Corsetry, Accessories, and Crochet.Production is carried out through Tirarin's own facilities and a network of matched factories, including our own operations arm in China, Wewin. References on this website to "our factory floor," "our own operations," or similar language regarding China refer to Wewin. The website provides general information about these services. Nothing on the website constitutes a binding offer to manufacture goods. A binding commercial relationship begins only once both parties have agreed to a written quotation, production agreement, or purchase order.
2. Eligibility
Our services are intended for businesses (B2B use only), not individual consumers. By engaging Tirarin, you confirm that you are acting on behalf of a business, are authorized to enter into agreements on that business's behalf, and are at least 18 years of age.
3. Minimum order quantity
Full production runs require a minimum order quantity (MOQ) of 200 units per style, run across two colors. This threshold applies across all product categories unless otherwise agreed in writing.
4. Quotations, orders, and production agreements
Quotations provided by Tirarin, whether through the website contact form, email, or in person, are estimates only and are valid for the period stated in the quotation (or, if no period is stated, for 30 days). A production run begins only after both parties sign a production agreement or purchase order confirming category, quantity, materials, pricing, and timeline. Any changes to an approved order (materials, quantities, specifications, or timeline) may affect pricing and delivery dates and must be agreed in writing before Tirarin proceeds. Lead times communicated by Tirarin are estimates based on current production capacity and are not guaranteed delivery dates unless stated as such in a signed production agreement.
5. Payment terms
Payment terms (deposit percentage, balance due date, accepted currencies and methods) are set out in the individual production agreement or invoice for each order. Late payment may result in a pause in production or delivery until outstanding amounts are settled. All prices are exclusive of taxes, duties, and shipping costs unless stated otherwise.
6. Samples and approvals
Physical or digital samples (tech packs, fit samples, pre-production samples) will be provided for Client approval at the stages set out in the production agreement. Client sign-off on a sample confirms that the approved specification, materials, and construction are correct. Tirarin is not responsible for discrepancies between the final production run and the approved sample where the Client requested changes after sign-off.
7. Intellectual property and confidentiality
All designs, specifications, tech packs, reference images, and related materials submitted by the Client ("Client Materials") remain the sole property of the Client. Tirarin does not use, reproduce, or share Client Materials for any purpose outside the agreed production engagement, and does not share one client's designs, materials, or production details with another client. Access to Client Materials within Tirarin is limited to the team members directly responsible for the Client's account. Where a non-disclosure agreement (NDA) has been signed, its terms apply in addition to this section. Where no separate NDA is signed, this section constitutes Tirarin's confidentiality commitment to the Client. Patterns, graded specifications, and the tech packs Tirarin produces in the course of manufacturing the Client's designs remain the property of Tirarin, and are used only for the Client's own production. This does not affect the Client's ownership of its designs, brand, and intellectual property, which remain with the Client. Nothing in this section transfers ownership of Tirarin's own processes, systems, or proprietary production methods to the Client.
8. Quality guarantee
Every full production run carries a 30-day quality guarantee from the date of delivery, covering manufacturing defects consistent with the approved sample and specification. Claims must be raised in writing within this period, accompanied by supporting evidence (photos, defect count, batch reference). This guarantee does not cover damage occurring after delivery, normal wear, or deviations the Client approved at the sampling stage.
9. Delivery and risk
Delivery timelines, shipping terms (e.g. FOB, CIF, DDP), and the point at which risk transfers to the Client are set out in the individual production agreement. Tirarin is not liable for delays caused by customs, carriers, or other events outside our reasonable control (see Section 11).
10. Cancellations
Cancellation terms, including any non-refundable deposit or work-in-progress charges, are set out in the individual production agreement. As a general position, deposits cover costs already committed (materials ordered, sampling completed, factory slots booked) and are non-refundable once production has commenced.
11. Force majeure
Tirarin is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, war, civil unrest, government action, pandemic, or significant supply chain disruption. We will notify the Client as soon as reasonably possible and work in good faith to minimize impact.
12. Limitation of liability
To the extent permitted by law, Tirarin's total liability arising from any single production run is limited to the value of that order. Tirarin is not liable for indirect, incidental, or consequential losses, including loss of profit, loss of business opportunity, or reputational harm, except where such liability cannot be excluded under applicable law.
13. Website use
You agree not to use this website in any way that could damage, disable, or impair it, or to attempt unauthorized access to any part of the website or its underlying systems. Content on this website, including text, images, and brand assets, is the property of Tirarin and may not be reproduced without written permission.
14. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the website or an active production agreement after changes take effect constitutes acceptance of the updated Terms. For active production agreements, the Terms in place at the time the agreement was signed continue to govern that specific order unless both parties agree otherwise.
15. Governing law and disputes
These Terms are governed by the laws of Thailand. Any dispute arising from these Terms or from a production agreement with Tirarin will first be addressed through good-faith negotiation between the parties. If unresolved, disputes are subject to the exclusive jurisdiction of the courts of Bangkok, Thailand, unless a separate production agreement specifies arbitration or another forum.
